Submitting an application does not guarantee acceptance. No partnership begins until Orion confirms approval in writing.
1. Partner tracks
Production Partners sell or coordinate Orion production through their own client-service business. Earlier documents may call this track Agency Partner; both names describe the same track. Referral Partners introduce qualified businesses without reselling or managing production.
Joining is free, with no subscription, minimum project count or guaranteed work. Approval does not guarantee acceptance of any particular project or referral.
2. Production Partner model
- Orion issues a private quote based on scope, schedule, location, crew, deliverables and expected volume. The partner sets its client-facing price and markup; no margin is guaranteed.
- Before work or client communication begins, both parties must agree in writing who contracts with and invoices the client, who pays Orion, the communication model and any white-label or co-branded arrangement.
- The project agreement must state deliverables, schedule, payment milestones, included revisions, approval responsibilities, cancellation and rescheduling rules, delivery and usage rights, confidentiality, and responsibility for delays. Portfolio use and client-facing branding require written agreement.
- Quote and delivery dates are confirmed per project. Scope changes require written approval of the revised price and schedule. No unconfirmed turnaround, availability or revision allowance may be promised to the client.
- Each party remains responsible for its agreed obligations. The partner is responsible for promises or services outside Orion's written scope. Client non-payment does not cancel the partner's payment obligations to Orion unless the project agreement expressly says so.
- Production Partner terms cannot be combined with referral commission on the same project. The operating track must be recorded before acceptance.
3. Referral registration
- Approved partners register through the referral form using their Partner ID. A complete submission identifies the business, decision-maker, contact details, content need and permission to introduce them.
- Existing Orion clients, active leads and previously accepted opportunities do not qualify. Eligibility is assessed against Orion's records at the time the complete submission is received; the client must not already be in an active conversation with Orion about the opportunity.
- Orion will accept or reject a complete submission in writing within two business days. An incomplete submission receives a request for missing information within the same period. Receipt or a reference number alone is not acceptance, and silence does not create acceptance.
- If eligible submissions overlap, the earliest complete, eligible submission received by Orion has priority once accepted. Orion records the receipt time and the reason for any rejection; acknowledgement speed does not change priority.
- Acceptance confirms the attributed business, partner, applicable terms and registration expiry. Registration lasts 90 calendar days from acceptance for the first qualifying payment to be received. Orion may extend it in writing before expiry; otherwise a new registration and eligibility check are required.
- Partners must obtain permission before sharing personal details. Orion confirms attribution before outreach. Registration does not authorise the partner to bind Orion or promise a sale.
A business day is Sunday through Thursday, excluding public holidays in Egypt. Periods and receipt times use Africa/Cairo time. A business-day response period starts on the next business day after receipt.
4. Referral commission
- Commission is 10% of qualifying collected service revenue, capped at 7,500 EGP in total per referred client. Multiple projects or contacts at the same contracting client do not create additional caps or restart the window.
- The earning window starts when Orion receives the first qualifying payment while registration is valid, and ends exactly 90 calendar days later. Only qualifying payments received before that end time and before termination takes effect earn commission.
- Signing a contract, issuing an invoice or completing work within the window does not qualify money collected after the window ends. A deposit and later balance are assessed separately by their collection dates. A deposit does not qualify revenue that has not yet been collected.
- Eligible repeat-project payments from the attributed client can count within that same window, subject to the total cap and the exclusions below. Unpaid invoices do not qualify.
- Commission is earned when an eligible payment is received, subject to clearance and retention. Refunds, cancellations and chargebacks reduce qualifying revenue. If commission has already been paid on reversed revenue, Orion provides a revised statement and may offset the documented overpayment against future commission or request repayment within 30 calendar days.
- Separate legal entities require separate eligibility checks. Orion will identify the attributed contracting client in the acceptance; a new brand name, contact or branch alone does not create a new client.
5. Qualifying revenue and exclusions
Qualifying revenue is the amount actually collected for Orion's production services, after discounts, credits and refunds, excluding taxes and the pass-through costs below. It is a revenue calculation, not a deduction of Orion's general overhead or an undisclosed profit calculation.
Media spend, advertising budgets, travel, accommodation, permits, location fees, rentals, talent payments and specialist subcontractors are excluded where they are identified as third-party or pass-through charges in the accepted scope or invoice. Other pass-through exclusions must be identified in writing before the relevant project is agreed. Orion's own production service charges are not excluded merely because Orion uses a crew or supplier to fulfil them.
If an invoice mixes service and excluded charges, a partial payment is allocated proportionately unless the client payment expressly identifies an invoice item. For example, an invoice containing 25,000 EGP of qualifying services and 5,000 EGP of excluded costs generates 2,500 EGP commission when fully collected within the earning window; a proportional half-payment generates 1,250 EGP. The cap still applies.
For non-EGP collections, the commission statement identifies the EGP conversion rate, date and basis used. The conversion basis must be confirmed in the written acceptance before earning begins.
6. Client protection and confidentiality
- The partner retains its client relationship under the agreed operating model. Protection covers opportunities Orion accepts and records in writing; it does not grant exclusive ownership of a client or its purchasing decisions.
- Orion will not bypass the partner on a protected opportunity or resulting project. Orion will not directly solicit production work from that registered client during the protected project or for 12 months after its final delivery. If an accepted opportunity does not proceed, direct-solicitation protection lasts until its registration expires or it is closed in writing.
- For an unsolicited direct enquiry during protection, Orion will notify the partner and agree the operating model before quoting for that opportunity. Existing Orion relationships documented before registration are excluded and must be disclosed when Orion accepts or rejects protection.
- New opportunities and renewals must be registered and confirmed in writing. Protection already agreed for an accepted project survives termination for the period above.
- Both parties must keep non-public client, pricing and project information confidential, use it only for agreed work, and share it only with people who need it and are bound to confidentiality, or where disclosure is required by law. This duty survives termination; public information and information independently obtained without a confidentiality breach are excluded.
- White-label identity, permitted direct contact, file branding, portfolio use and any additional non-disclosure requirements are confirmed in the project agreement.
7. Statements and payment timing
- Orion pays eligible commission within 30 calendar days after both the qualifying client payment has cleared and the partner has supplied the payment details and accounting documents requested in writing. Orion requests missing documents within five business days after clearance; it will not repeatedly restart the deadline by requesting documents already supplied.
- Each payment includes a statement showing the attributed client and reference, collection dates, qualifying revenue, exclusions, adjustments, commission, amount paid and remaining cap. Partners may request a statement or an explanation without receiving unrelated confidential client information.
- A specific unresolved refund, chargeback, fraud or eligibility issue may place the affected amount on hold. Orion must give the reason, amount and review date in writing by the normal payment deadline. An additional hold cannot exceed 30 calendar days unless both parties agree in writing or payment is legally prohibited. General cancellation risk alone is not a reason for an indefinite hold.
- Undisputed amounts remain payable on time. Partners should raise statement or attribution questions within 30 calendar days of receiving the statement or decision. Orion acknowledges the question within two business days and provides a reasoned response within ten business days; this review process does not waive either party's rights.
8. Conduct
- Partners may not make false claims, guarantee results or promise services, commercial terms, availability or deadlines Orion has not confirmed.
- Partners may not impersonate Orion or bind Orion to a contract.
- Spam, deceptive promotion, fabricated leads, self-referrals and abusive activity are prohibited.
- Orion may reject a project, lead or application that is unsuitable, unsafe, unlawful or outside capacity.
9. Ending participation
Either party may terminate by written notice to the contact recorded in the partner approval. Termination takes effect when the notice is received, or on a later date specified in it. Orion confirms the effective date and time in writing.
No commission is earned on client payments received after termination takes effect, including payments from referrals previously accepted. Commission already earned on qualifying payments received before termination remains payable under section 7, even if it has not yet been paid, subject to documented refunds, reversals and eligibility checks. No new opportunities may be registered after termination.
Orion may immediately suspend participation for fraud, misrepresentation, confidentiality breaches or harmful conduct and must notify the partner of the grounds in writing. Suspension blocks new registrations; it does not itself forfeit valid earned commission. A notice ending commission eligibility must expressly terminate participation. Commission generated by fabricated or otherwise ineligible referrals is not validly earned.
Termination does not cancel existing project agreements, payment obligations, agreed client protection or confidentiality duties. Orion provides a final commission statement within 30 calendar days after termination; pending clearance or adjustments are identified and resolved under section 7.
10. Tax and accounting
Partners are responsible for their own tax, invoice and reporting obligations. Orion may request appropriate documentation before payment. The programme's accounting and tax treatment may be updated to remain compliant with applicable requirements.
11. Data and privacy
Partners must only share business and personal information they are entitled to provide. Orion uses submitted information to assess applications, administer the network, verify attribution and communicate about relevant opportunities, subject to the Privacy Policy.
12. Contracting entity and written approval
Written partner approval identifies Orion's legal contracting entity and contact, the partner's identity and track, Partner ID, applicable terms version, payment documentation and payment method. Production work cannot begin without the project agreement described in section 2.
A separate agreement signed or expressly accepted in writing by both parties controls where it expressly varies these standard terms for that partner or project. Informal marketing statements do not override an accepted agreement. Written notices and approvals may be sent by email or the business WhatsApp contact recorded in the approval; records must be retained.
13. Changes to these terms
Orion may update these terms prospectively. Material changes affecting existing partners are communicated in writing at least 30 calendar days before taking effect, unless an earlier change is required by law. The notice states the new version and effective date.
The terms version, rate, cap and collection window recorded when a referral is accepted remain applicable to that accepted referral, including while it awaits its first payment. Changing the website does not retrospectively change accepted registrations or validly earned commission. Existing written project agreements also remain in effect. A partner may terminate before new terms take effect; section 9 then governs further earnings.
14. Governing law
These terms are governed by the laws of the Arab Republic of Egypt. Any dispute that cannot be resolved in good faith will be submitted to the competent Egyptian courts, unless a written partner agreement states otherwise.
